This Affiliate Agreement ("Agreement") sets the rules for participating in the Balmbare Partners affiliate program ("Program"), operated by Balmbare ("we", "us"). By signing up, you agree to these terms in addition to our Terms of Service and Privacy Policy.
1. The Program
The Program lets approved partners earn commissions by promoting Balmbare products to their audience. You'll receive a unique referral link and discount code. We track sales attributed to your link/code and pay you commissions per the structure below.
2. Commission Structure
- 40% on direct sales. You earn 40% of the gross product subtotal on every Balmbare order that uses your referral link or discount code. Excludes shipping, taxes, gift cards, and refunds.
- 10% customer discount. When a customer uses your discount code, they get 10% off. The 10% is funded by Balmbare, not deducted from your commission.
- 20% on referred-affiliate sales. If you invite another affiliate to the Program using your invite link, you earn 20% on their direct sales for as long as they remain in the Program. This is the only level of MLM — no second-tier or deeper.
Commissions are calculated on the net product subtotal (after the customer discount) excluding shipping, taxes, and discounted items below cost. Refunds and chargebacks reverse the commission.
3. Commission Lifecycle
Each commission goes through these states:
- Pending — sale recorded, awaiting clearance through the refund window.
- Cleared — refund window passed (30 days from order date). Eligible for payout.
- Paid — sent to your payout method via Tremendous.
- Reversed — order refunded or charged back before clearing. Commission removed.
4. Payouts
- Minimum payout: USD $50 in cleared commissions.
- Payout schedule: requested by you at any time once you meet the minimum, or auto-paid monthly if you've enabled auto-payout.
- Payout method: via Tremendous (PayPal, Venmo, ACH, gift cards, or cryptocurrency where supported). You choose your method in your account settings.
- Processing time: typically within 5 business days of request. Once Tremendous sends the funds, delivery time depends on your chosen method.
5. Taxes
You are an independent contractor, not an employee. You are responsible for reporting and paying your own income taxes. If you are a US-based affiliate and earn $600 or more in a calendar year, we are required by the IRS to collect your taxpayer information (W-9) and issue you a Form 1099-NEC by January 31 of the following year. International affiliates may be required to provide tax forms (W-8BEN) per local treaty rules.
6. Promotional Rules
To protect Balmbare's brand and to keep the Program healthy for everyone, you agree to the following:
- FTC disclosure required. If you promote Balmbare on social media, in blog posts, or in any public content, you must clearly disclose your affiliate relationship — e.g., "I earn a commission when you use my code." This is required by US law (FTC Endorsement Guides) and similar regulations in other countries.
- No false claims. Do not make medical, health, or financial claims about Balmbare products beyond what's stated on our official product pages.
- No spam. Do not send unsolicited bulk email, SMS, or DMs promoting Balmbare. Anti-spam laws (CAN-SPAM, GDPR, CASL) apply.
- No paid search on brand terms. You may not bid on "Balmbare," misspellings, or close variants in Google Ads, Bing Ads, or other paid search platforms.
- No coupon-site promotion. Submitting your discount code to coupon aggregator sites (RetailMeNot, Honey, etc.) is prohibited. Your code is for your audience, not the internet at large.
- No impersonation. Do not claim to be a Balmbare employee or representative. You are an independent affiliate.
- No self-purchases for commission. Using your own code to buy products for yourself does not generate commission, and repeated attempts to do so may result in termination.
- Use approved creative. When using Balmbare logos, product imagery, or copy, use what we provide in the Materials section. Do not modify the logo or create misleading derivative work.
7. Termination
Either party may terminate this Agreement at any time:
- You may close your account by emailing join@balmbare.com. Cleared commissions earned before termination remain payable.
- We may suspend or terminate your participation immediately for breach of this Agreement, fraud, abuse, or any reason we determine in good faith. Commissions linked to fraudulent or self-purchased orders will be forfeited.
8. Modifications to the Program
We may modify commission rates, payout terms, promotional rules, or other Program terms at any time. Changes will be communicated by email at least 14 days before they take effect. Continued participation after the effective date means you accept the changes. Commissions earned before a rate change will be paid at the old rate.
9. Independent Contractor
Nothing in this Agreement creates an employment, partnership, joint venture, or franchise relationship. You operate independently and have no authority to bind Balmbare to any contract or representation.
10. Confidentiality
You may receive non-public information about Balmbare (sales numbers, upcoming products, internal data) through the portal or by direct communication. Do not disclose this information to anyone outside the Program without our written consent.
11. Indemnification and Limitation of Liability
You indemnify Balmbare against any claims arising from your breach of this Agreement, your promotional activity, or your violation of law. Our total liability under this Agreement is capped per the limits described in the Terms of Service.
12. Governing Law
This Agreement is governed by the laws of the State of Delaware, USA. Disputes will be resolved exclusively in Delaware state or federal courts.
